The Services are provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any part of the Services without notice. 2. User Responsibilities 2.1. You agree to use the Services only for lawful purposes and in accordance with these Terms. 2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 2.3. You must ensure that any data you provide to the Company complies with all applicable laws, including privacy and intellectual property laws.
3. Intellectual Property 3.1. All content, software, and technology provided through the Services are the intellectual property of the Company or its licensors. 3.2. You may not reproduce, distribute, or create derivative works from our materials without prior written consent.
4. Fees and Payment 4.1. The fees for the Services will be as described in your agreement or our pricing page. 4.2. All payments are non-refundable unless otherwise stated. 4.3. The Company reserves the right to suspend or terminate access to the Services if payments are not made in a timely manner.
5. Disclaimer of Warranties 5.1. The Company disclaims all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose. 5.2. We do not guarantee that the Services will meet your requirements or operate without interruptions or errors. 6. Limitation of Liability 6.1. The Company shall not be liable for indirect, incidental, or consequential damages arising out of your use of the Services. 6.2. In no event shall the Company’s total liability exceed the amount paid by you for the Services in the preceding 12 months. 7. Indemnification You agree to indemnify and hold harmless the Company from any claims, damages, or expenses arising out of your use of the Services or your violation of these Terms. 8. Governing Law and Dispute Resolution 8.1. These Terms shall be governed by the laws of Montreal, Canada. 8.2. Any disputes shall be resolved through arbitration in Montreal, QC, unless prohibited by law.
9. SMS Terms and Conditions 9.1. SMS Program Overview Enclosed is a copy of the boilerplate terms of service covering minimum requirements from the carriers. The ClientAcquisition.io SMS Program provides updates, promotional offers, and service notifications related to AI-powered solutions. By opting in, users will receive exclusive offers, lead generation insights, and AI-powered automation updates.
9.2. Opting Out of SMS Messages You can cancel the SMS service at any time. Simply text "STOP" to the shortcode. Upon sending "STOP," we will confirm your unsubscribe status via SMS. Following this confirmation, you will no longer receive SMS messages from us. To rejoin, sign up as you did initially, and we will resume sending SMS messages to you.
9.3. Support and Assistance If you experience issues with the messaging program, reply with the keyword "HELP" for more assistance, or reach out directly to contact@clientacquisition.io.
9.4. Carrier Liability Disclaimer Carriers are not liable for delayed or undelivered messages.
9.5. Message & Data Rates As always, message and data rates may apply for messages sent to you from us and to us from you. Message frequency varies. For questions about your text plan or data plan, contact your wireless provider.
